Terms of Use

1. Agreement and authority

Smetko is operated by Ideologix Media DOOEL, Dimitar Vlahov St. 17, Kichevo, EMBS 7195389 ("we", "us" and "Smetko"). These Terms form the agreement for use of Smetko. A person accepting them for an organisation confirms that they have authority to bind that organisation. If they do not, they must not use the service for it.

These Terms apply with an order form, quote, subscription terms or written agreement. If a written agreement expressly conflicts with these Terms, that agreement prevails for the conflict.

2. Accounts, access and security

You must provide accurate account information, keep credentials confidential, use strong access controls and promptly tell us about suspected unauthorised access. You are responsible for activity through your account and for managing your authorised users.

3. Acceptable use

You may use Smetko only for lawful business purposes and in accordance with these Terms. You are responsible for your users, content, records, tax choices, filings and decisions made using the service.

• Do not breach law, another person’s rights or confidentiality obligations.
• Do not probe, disrupt, bypass security, reverse engineer or introduce malicious code.
• Do not use the service to transmit unlawful, deceptive, harmful or infringing material.
• Do not resell, rent, copy or make Smetko available to unauthorised third parties.

4. Trials, subscriptions and manual payment

A trial is limited, may have feature or usage limits and may be withdrawn where permitted by law. Unless we state otherwise, a trial does not create a right to continued service after it ends.

Paid subscriptions, prices, billing periods, taxes and any hardware charges are shown in the applicable quote, order or invoice. Payment may be made by the method stated there, including manual bank transfer. You must pay invoices by their due date and provide correct billing information.

5. Non-payment and grace period

If payment is late, we may send reminders and allow a reasonable grace period where applicable. During or after that period, we may restrict non-essential features, suspend access or terminate the subscription after notice, subject to mandatory law and any agreed commercial terms.

6. Customer data and responsibility

You retain responsibility for Customer Data entered into Smetko, including its accuracy, legality, permissions, retention and backups you choose to keep. You instruct us to process Customer Data only to provide, secure, support and improve the contracted service, as further described in the Privacy Policy and any applicable data-processing agreement.

You must obtain all notices, permissions and legal bases needed for personal data and documents you upload or generate. Smetko is software support, not legal, tax, accounting or regulatory advice.

7. Integrations and third-party services

Smetko may connect to third-party or public systems, including UJP/eFaktura, payment, messaging, hardware and optional OpenRouter AI services. Their availability, terms, responses and security practices are outside our control. You decide whether to enable an optional integration and must use it lawfully.

For UJP/eFaktura, you remain responsible for the accuracy, authorisation and legal effect of submissions. Optional AI features can produce incomplete or incorrect output: review all output before relying on it, and do not submit confidential or personal data unless you have assessed the feature and have a valid basis.

8. Intellectual property

We and our licensors retain all rights in Smetko, its software, branding, documentation and content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes during the subscription.

You grant us only the limited rights necessary to host, process and display Customer Data for the service.

9. Availability, maintenance and support

We aim to operate a reliable service, but internet services can experience planned maintenance, emergency changes, third-party failures and events outside reasonable control. We do not promise uninterrupted or error-free availability unless a separate written service level applies.

Support is provided through the channels and hours included with your plan or agreement. We may update, improve, replace or discontinue features while taking reasonable account of active customers and mandatory law.

10. Suspension, termination and export

We may suspend access immediately where reasonably necessary to protect the service, users, security, law or third-party rights. Either party may terminate as allowed by the subscription terms or for material breach not cured after reasonable notice.

Before expiry or termination, you may export available Customer Data using the service’s export tools. After termination, we handle data under the Privacy Policy, applicable law and any data-processing agreement.

11. Disclaimers and liability

To the fullest extent permitted by law, Smetko is provided on an “as available” basis. We do not warrant that it will meet every need, produce a particular business or legal outcome, or be free of all errors. You must review records, reports, invoices, tax returns and regulatory submissions before use or filing.

Neither party excludes liability that cannot lawfully be excluded. Subject to that, neither party is liable for indirect, incidental, special, consequential or lost-profit damages. Our total liability is limited to fees paid by you for the affected service in the 12 months before the event, unless a written agreement states otherwise.

12. Changes to these Terms

We may change these Terms for legal, security, operational or service reasons. We will post the new version with its effective date and, for material changes to active subscriptions, give reasonable advance notice where practicable. Continued use after the effective date means acceptance, unless mandatory law or your agreement provides otherwise.

13. Law, disputes and contact

These Terms are governed by the laws of the Republic of Macedonia, without regard to conflict-of-law rules. Courts with jurisdiction in Macedonia will resolve disputes, unless mandatory law requires another forum.
